4. Hardware and Equipment

Warranties:

• Hardware covered by manufacturer warranties only
• No additional warranties beyond manufacturer terms
• Performance subject to manufacturer specifications
• Installation and setup services provided as-is

Client Responsibilities:

• Proper use according to manufacturer guidelines
• Adequate power, cooling, and environmental conditions
• Regular maintenance and updates
• Backup of all critical data

5. Limitation of Liability

• Lost profits or revenue

Client Responsibilities:

7. Payment Terms

• Down Payment: 50% required before service commencement
• Final Payment: Due upon service completion and acceptance
• Late Payments: Subject to 1.5% monthly interest
• Refunds: No refunds after successful service delivery
• Disputes: Must be raised within 30 days of service completion

8. Intellectual Property

Client Rights:

• Client owns outputs generated from their data
• Custom developments specific to client belong to client
• Client data and intellectual property remains with client

Kermicle Media Rights:

• Retains rights to general methodologies and systems
• May use anonymized performance metrics for marketing
• Underlying AI models owned by respective third parties

9. Termination

Termination Rights:

• Either party may terminate with 30-day written notice
• Immediate termination for material breach after 15-day cure period
• Client receives data export upon termination
• No refund of completed services

10. Governing Law and Disputes

• Governing Law: Kentucky state law
• Jurisdiction: Owen County, Kentucky courts
• Dispute Resolution: Good faith negotiation, then mediation, then arbitration
• Attorney Fees: Prevailing party recovers reasonable costs
